These Terms of Use ("Terms") govern your access to and use of Autheo Labs and all experimental prototypes, tools, and software made available through the Autheo Labs program (collectively, the "Labs"), operated by AutheoLabs, Inc., a Wyoming corporation, located at 30 N Gould St Ste R, Sheridan, Wyoming 82801 ("AutheoLabs," "we," "us," or "our").

By accessing Labs, you agree to be bound by these Terms. If you do not agree, do not use Labs.

1. Nature of Labs

Autheo Labs is an experimental innovation sandbox. All prototypes, tools, and software made available through Labs are:

• Experimental and not production-ready
• Provided "as-is" without warranty of any kind
• Subject to change, discontinuation, or removal at any time without notice
• Operated exclusively on the Autheo testnet — isolated from the Autheo mainnet

2. Prohibited Uses

You agree not to:

• Use any Labs prototype with real assets or in any production capacity
• Represent any Labs prototype as production-ready software to third parties
• Attempt to bridge Labs activity to the Autheo mainnet
• Reverse engineer, decompile, or otherwise attempt to extract proprietary source code
• Use Labs in violation of any applicable law or regulation

3. Indemnification

You agree to indemnify, defend, and hold harmless AutheoLabs, Inc. and its respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way related to your use of Labs or your violation of these Terms.

4. On-Chain Acceptance

To access Autheo Labs, you are required to accept these Terms through a cryptographically verifiable on-chain process. Your acceptance is recorded on the Autheo blockchain via a smart contract registry, creating a permanent, tamper-proof record of consent. Where on-chain acceptance is not yet available or a Web3 wallet is not connected, acceptance is recorded locally and will be synchronized when the registry contract is live.

On-chain acceptance serves as legally binding acknowledgment of these Terms for audit and transparency purposes. Acceptance is tied to the wallet address used at the time of consent.

5. Eligibility

By accessing Labs, you represent and warrant that you:

• Are at least 18 years of age
• Have the legal capacity to enter into a binding agreement
• Are not located in, under the control of, or a national or resident of any country subject to U.S. embargo or other applicable trade sanctions
• Will comply with all applicable local, state, national, and international laws

6. Disclaimer of Warranties

LABS IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. AUTHEOLAB S, INC. DOES NOT WARRANT THAT LABS WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AUTHEOLAB S, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF LABS.

8. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or your use of Labs shall be resolved by binding arbitration in Cheyenne, Wyoming, in accordance with the rules of the American Arbitration Association.

9. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted to this page with an updated effective date. Your continued use of Labs after changes constitutes acceptance of the revised Terms. Material changes will require renewed on-chain acceptance.
